THIS IS AN AGREEMENT BETWEEN YOU OR THE ENTITY THAT YOU REPRESENT (hereinafter “You” or “Your”) AND Darrel Technologies Limited (hereinafter “DTECH”) GOVERNING YOUR USE OF THE EASYBILL BUSINESS MANAGEMENT SUITE

By using EasyBill or signing up for an EasyBill account, you are agreeing to be bound by the following terms and conditions. This is a legal agreement. EasyBill is an all-in-one business management platform — combining point of sale, inventory, invoicing, CRM, payments and reporting — offered through the URL http://easybillghana.com (we'll refer to it as the "Website").

 

ACCOUNT

1. Eligibility and acceptance of terms

In order to use EasyBill, you must:

  1. be at least eighteen (18) years old and able to enter into contracts;
  2. register for an account
  3. provide true, complete, and up to date contact information.

By using EasyBill you represent and warrant that you meet all the requirements listed above, and that you won’t use EasyBill in a way that violates any laws or regulations. DTECH may refuse service, close accounts of any users, and change eligibility requirements at any time.

 

2. Term

The Term begins when you sign up for EasyBill and, for a licensed account, continues in perpetuity for the tier you've purchased, subject to your continued compliance with these Terms. Clicking the button and entering your username means that you’ve officially “signed” the Terms. If you sign up for EasyBill on behalf of a company or other entity, you represent and warrant that you have the authority to accept these Terms on their behalf. Customers who purchased a recurring subscription before we moved to one-time licensing are transitioned in accordance with Section 7 below, and the Term for their account continues as a license from the date of transition.

 

3. Closing your account

You or DTECH may terminate this Agreement at any time and for any reason by giving Notice to the other party. We may suspend our Service to you at any time, with or without cause. If we terminate your account without cause, or if you terminate your account due to DTECH's failure of obligations under the Terms, we’ll refund any prepaid, unused Support Fees (see Section 9) on a prorated basis; License Fees already paid are non-refundable except as set out in Section 11. We won’t refund or reimburse you if there’s cause, like a violation of these Terms or our Acceptable Use Policy. Once terminated, we may permanently delete your account and all the data associated with it, including user data and transactions from our Website. If you don’t log in to your account for 12 or more months, we may treat your account as “inactive” and permanently delete the account and all the data associated with it.

 

4. Changes

We may change any of the Terms by posting revised Terms of Use on our Website and/or by sending an email to the last email address you gave us. Unless you terminate your account within ten (10) days, the new Terms will be effective immediately and apply to any continued or new use of EasyBill. We may change the Website, the Service, or any features of the Service at any time.

 

5. Account and Password

You are responsible for keeping your account name and password confidential. You are also responsible for any account that you have access to, whether or not you authorized the use. You’ll immediately notify us of any unauthorized use of your accounts. We’re not responsible for any losses due to stolen or hacked passwords. We don’t have access to your current password, and for security reasons, we may only reset your password.

 

6. Account Disputes

We don’t know the inner workings of your organization or the nature of your personal relationships, and we don’t arbitrate disputes over who owns an account. You won’t request access to or information about an account that’s not yours, and you’ll resolve any account-related disputes directly with the other party. We decide who owns an account based on the contact information listed for that account.

 

PAYMENT

7. Licenses & Plans

EasyBill is offered under one-time, tiered software licenses (currently Starter, Business, and Enterprise), each of which grants you the right to use the corresponding tier of the Service, as described on our Pricing page. License fees are posted on our Website and may change from time to time for new purchases; such changes do not affect licenses you've already purchased.

Each license may optionally be paired with an annual Support & Updates plan, billed yearly in advance, which entitles you to software updates, bug fixes, and priority technical support for the covered period. Payments for an active Support & Updates plan are due on the same or closest date to your original purchase date (the "Renewal Date").

Customers who purchased a recurring monthly or annual subscription before we moved to one-time licensing are being transitioned to an equivalent one-time license tier in accordance with a separate transition notice communicated to them, with prior subscription payments credited toward the applicable License Fee where stated in that notice. Until a customer's transition takes effect, their existing subscription terms continue to apply to them in place of this Section 7.

Perpetual ("Lifetime") licenses sold under our lifetime-access offering are, and continue to be, governed by a separate Lifetime License Agreement issued to that customer at the time of purchase, which takes precedence over this Section 7 to the extent of any conflict.

 

8. Payment information

You agree to pay the applicable License Fee in full before your EasyBill account is activated at your chosen tier. If you elect to purchase an annual Support & Updates plan, you agree to pay that fee in advance of each annual period; we'll bill you on the Renewal Date unless you've notified us that you don't wish to renew. Declining to renew your Support & Updates plan does not affect your right to keep using the software tier you've licensed — it only means you won't receive further updates, bug fixes, or priority support until you renew.

 

9. Payment of Fees

You will pay the fees applicable to your EasyBill license (“License Fees”), any annual Support & Updates fees you elect to purchase (“Support Fees”), and any other applicable fees, including but not limited to fees relating to the processing of transactions under your Account (“Transaction Fees”), and any fees relating to your purchase of any products or services such as POS Equipment, shipping, or Third Party Services (“Additional Fees”). Together, the License Fees, Support Fees, Transaction Fees and the Additional Fees are referred to as the “Fees”.

It is your responsibility to ensure that your payment information is up to date. License Fees are due in full prior to activation and are non-refundable except as set out in Section 11. If you have an active Support & Updates plan, we provide a 5-day grace period from its Renewal Date within which it must be paid; if it isn't paid within that period, the Support & Updates plan lapses, but your underlying license and your access to the software tier you purchased are not suspended or terminated as a result. By contrast, outstanding Transaction Fees or Additional Fees that remain unpaid for more than 10 days may result in a late fee of 15% of the amount due and suspension of your account until the balance is paid in full, and accounts suspended on that basis for more than 21 days may be terminated and permanently deleted in accordance with Section 3.

All fees are exclusive of VAT and other applicable tax charges currently in force or enacted in future.

 

10. Modifications to the Service and prices

  1. We may change our fees at any time by posting a new pricing structure to our Website and/or sending you a notification by email; changes apply only to new license purchases and future Support & Updates renewals, not to license tiers you've already paid for.
  2. Prices for using the EasyBill service are subject to change upon 30 days notice from Darrel Technologies. Such notice may be provided at any time by posting the changes to our website or the administration menu of your EasyBill dashboard via an announcement
  3. We reserve the right at any time, and from time to time, to modify or discontinue, the Service (or any part thereof) with or without notice.
  4. We shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.

 

11. Refund

License Fees are non-refundable once your account has been activated at the purchased tier, except where required by law or where we stop providing the Service to you for a reason that's not laid out in these Terms or our Acceptable Use Policy — in which case we'll refund a prorated portion of any prepaid, unused Support Fees, but not the License Fee itself. You won’t be entitled to a refund from us under any other circumstances. Refunds relating to a perpetual ("Lifetime") license, if any, are governed exclusively by the separate Lifetime License Agreement applicable to that purchase. Customers still transitioning from a legacy subscription under Section 7 remain subject to the refund terms of their existing subscription until that transition takes effect.

 

 

RIGHTS

12. Proprietary Rights Owned by Us

You will respect our proprietary rights in the Website and the software used to provide EasyBill service (proprietary rights include patents, trademarks, service marks, trade secrets, and copyrights).

 

13. Rights Over Service

  1. We reserve the right to modify or terminate the Service for any reason, without notice at any time.
  2. We reserve the right to refuse service to anyone for any reason at any time
  3. Verbal or written abuse of any kind (including threats of abuse or retribution) of any DTECH customer, DTECH employee, member, or officer will result in immediate Account termination.
  4. We reserve the right to provide our services to your competitors and make no promise of exclusivity in any particular market segment. You further acknowledge and agree that DTECH employees and contractors may also be DTECH customers/merchants and that they may compete with you, although they may not use your confidential information in doing so.
  5. In the event of a dispute regarding Account ownership, we reserve the right to request documentation to determine or confirm Account ownership. Documentation may include, but is not limited to, a scanned copy of your business license, government issued photo ID, the last four digits of the credit card on file, etc.
  6. We can modify, cancel or refuse the service at anytime. In the event of an ownership dispute over an EasyBill account, we can freeze the account or transfer it to the rightful owner.

 

LIABILITY

14. Disclaimer of Warranties

To the maximum extent permitted by law, we provide the material on the Website and the Service as is. That means we don’t provide warranties of any kind, either express or implied, including but not limited to warranties of merchantability and fitness for a particular purpose. Since people use EasyBill for a variety of reasons, we can’t guarantee that it will meet your specific needs.

 

15. Limitations on Liability

To the maximum extent permitted by law, you assume full responsibility for any loss that results from your use of the Website and the Services, including any downloads from the Website. We and our Team won’t be liable for any indirect, punitive, special, or consequential damages under any circumstances, even if they’re based on negligence or we’ve been advised of the possibility of those damages. Our total liability for all claims made about the Service in any month will be no more than what you paid us for the Service the month before.

 

16. Indemnity

You agree to indemnify and hold us and our Team harmless from any losses, including attorney fees that result from any claims you make that aren’t allowed under these Terms due to a “Limitation of Liability” or other provision. (Indemnity is an agreement to compensate someone for a loss.) You also agree to indemnify and hold us harmless from any losses, including attorney fees, that result from third-party claims that you or someone using your password did something that, if true, would violate any of these Terms.

 

17. Legal Fees

If we file an action against you claiming you breached these Terms and we prevail, we’re entitled to recover reasonable attorney fees and any damages or other relief we may be awarded.

 

18. Equitable Relief

If you violate these Terms then we may seek injunctive relief (meaning we may request a court order to stop you) or other equitable relief.

 

19. Disclaimers

We and our Team aren’t responsible for the behavior of any advertisers, linked websites, or other Members.

 

 

FINE PRINT

20. Assignments

You may not assign any of your rights under this agreement to anyone else. We may assign our rights to any other individual or entity at our discretion.

 

21. Applicable Laws

Except for conflict of laws rules, the laws of the Republic of Ghana will apply to any dispute related to these Terms or the Service. Any dispute related to the Terms, the Privacy Policy, or the Service itself will be decided by the courts in Kumasi, Ghana and each party will be subject to the jurisdiction of those courts.

 

22. Force Majeure

We won’t be held liable for any delays or failure in performance of any part of the Service, from any cause beyond our control. This includes, but is not limited to, acts of God, changes to law or regulations, embargoes, war, terrorist acts, riots, fires, earthquakes, nuclear accidents, zombie apocalypse, floods, strikes, power blackouts, volcanic action, unusually severe weather conditions, and acts of hackers or third-party internet service providers.

 

23. Survivability

Even if this Agreement is terminated, the following sections will continue to apply: Proprietary Rights Owned by Us, Rights over service, Limitation of Liability, No Warranties, Indemnity, Applicable Laws, Severability, and Entire Agreement.

 

24. Severability

If it turns out that a section of this Agreement isn’t enforceable, then that section will be removed or edited as little as necessary, and the rest of the Terms will still be valid.

 

25. Interpretation

The headers and text are provided only to make this agreement easier to read and understand. The fact that we wrote these Terms won’t affect the way this Agreement is interpreted.

 

26. Amendments and waiver

Amendments or changes to these Terms won’t be effective until we post revised Terms on the Website. If we don’t immediately take action on a violation of these Terms, we’re not giving up any rights under the Terms, and we may still take action at some point.

 

27. No Changes in Terms at Request of Member

Because we have so many Members, we can’t change these Terms for any one Member or group.

 

28. Further Actions

You’ll provide all documents and take any actions necessary to meet your obligations under these Terms.

 

29. Notification of Security Breach

In the event of a security breach that may affect you or anyone on your user's list, we’ll notify you of the breach and provide a description of what happened. If we determine, and notify you, that you need to forward all or part of that information to anyone on your list, you’ll promptly do so.

 

30. Notices

Any notice to you will be effective when we send it to the last email or physical address you gave us or posted on our Website. Any notice to us will be effective when delivered to us along with a copy to our legal counsel: Attn. Legal Department, Darrel Technologies Limited, 11 Baab Atta Street, Bomso, P.O.Box KS16531, Adum, Kumasi or any addresses as we may later post on the Website.

 

31. Entire Agreement

These Terms, our Privacy Policy, Acceptable Use Policy, API Guidelines (all of which are incorporated into these Terms by reference), and any additional terms you’ve agreed to by turning on specific features (“Additional Terms”) make up the entire agreement and supersede all prior agreements, representations, and understandings. Any Additional Terms will be considered incorporated into these Terms when you activate the feature.

Where there’s a conflict between these Terms and the Additional Terms, the Additional Terms will control.
